Terms of Service
These terms govern services provided by RoboticForce Inc. to you. Where we have signed a proposal, statement of work or subscription agreement with you, that document takes precedence over these terms for the specific scope it covers.

1. Services and scope
RoboticForce provides AI implementation, automation, private AI infrastructure, website and accessibility engineering services. The work we will do for you is defined in your proposal or statement of work. Anything not described there is out of scope; we are happy to quote it separately.
Delivery timelines in a proposal are good-faith estimates and depend on the access and feedback described in section 3.
2. Fees and payment
- Project fees are invoiced as stated in the proposal. Subscription services (for example monthly automation packages) are billed in advance each month or year.
- Invoices are payable within the period shown on the invoice, normally 7 days. Payments are processed through our payment provider.
- Overdue amounts may attract interest at 1.5% per month (18% per year), and we may suspend work or service while an invoice is overdue.
- Amounts are in Canadian dollars unless stated otherwise. Taxes are added where applicable.
- Fees for work already performed are not refundable. Monthly subscriptions can be cancelled for the next billing period; partial months are not pro-rated unless required by law.
- Third-party costs you approve (software licences, hosting, hardware, API usage) are passed through at cost unless quoted separately.
3. Your responsibilities
- Give us timely access to the systems, accounts and information we need to do the work, and tell us who can approve decisions.
- Review and respond to drafts and questions within the timeframes agreed; delays shift the delivery dates.
- Make sure you have the rights to any content, data, images and marks you give us, and that using them as instructed does not infringe anyone else's rights.
- Use the delivered systems lawfully, including complying with privacy, accessibility and consumer-protection law that applies to your business.
- Keep your own credentials and admin access secure once handover is complete.
4. Third-party services
Our work often relies on third-party platforms (for example hosting, model providers, payment processors and messaging providers). We choose them carefully, but we do not control them: their availability, pricing and terms can change, and outages of a third-party service are not our breach. Where you purchase those services in your own name, the relationship is between you and that provider.
5. AI outputs
AI systems produce probabilistic output. We build safeguards, evaluations and human review steps appropriate to the use case, but we cannot guarantee that generated text, classifications or recommendations will always be accurate or complete. You remain responsible for decisions made using the output, and for any content that is published or sent to a third party.
6. Intellectual property
- You own your content, your data and your brand assets. You keep ownership of everything you give us.
- On full payment, you own the deliverables we create specifically for you, and may use them for your business without further royalty.
- We keep ownership of our pre-existing tools, templates, prompts, libraries, documentation and methods, including anything we build that is not specific to you. Where those are embedded in your deliverable, you get a non-exclusive, perpetual licence to use them as part of that deliverable.
- Nothing here transfers ownership of our internal systems or of third-party software.
7. Confidentiality
Each of us will keep the other's non-public information confidential and use it only to perform this engagement. That covers business plans, customer data, pricing, credentials and anything marked confidential. It does not cover information that is public, that we already had, or that we are legally required to disclose. These obligations survive the end of the engagement.
Personal information is handled as described in our Privacy Policy.
8. Liability
We provide our services with reasonable skill and care. Except for what cannot be excluded by law, we do not make other warranties, express or implied, including fitness for a particular purpose.
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill; and (b) our total liability arising out of or related to the engagement is limited to the fees you paid us in the three months before the event giving rise to the claim. These limits do not apply to your payment obligations, to either party's confidentiality breach, or to liability that cannot be limited by law.
9. Term and termination
- Project engagements run until the scope is delivered or either party ends them.
- Subscription services continue month to month (or for the term purchased) and either party may end them with 30 days' written notice, effective at the end of the current billing period.
- Either party may end the agreement immediately if the other commits a material breach that is not fixed within 14 days of notice, or becomes insolvent.
- On termination you pay for work performed and committed costs up to that date, and we hand over completed deliverables and your data in the formats we hold them.
10. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction, and before starting proceedings both parties will attempt to resolve the dispute in good faith through discussion.
If any provision is found unenforceable, the rest stays in effect. We may update these terms from time to time; the version in force when you engage us, or that applies to your current subscription term, governs that engagement.
